Make the financial-services activity explicit
A financial-services search should identify the activity of the business before grouping it with other firms. A capital provider, administrator, software supplier and outsourced service provider may serve similar customers while presenting very different origination questions.
Section 01
Build the search around a business role
Start with a plain description of what the target does. Does it provide capital, support administration, supply technology or deliver another specialist service? State which activities are included and which are outside the brief. Similar names or overlapping customer groups do not establish comparable business models.
Then identify the entity and geography being researched. A group website may describe activities spread across subsidiaries or markets. Keep that distinction visible so a conversation with one business is not presented as evidence about the whole group.

Qualification questions for the commercial brief

Customer and counterparty
Who receives the service, who selects the provider and who pays? Record the relationship in ordinary language so the receiving team understands the commercial role being discussed.

Source of revenue
How does the business describe its revenue: ongoing service fees, project work, transaction-linked activity or another basis? Preserve the explanation and mark where further information is required.

Dependencies and scope
Which platforms, partners or specialist functions are material to delivery? Identify questions for the client’s review without inferring authorisations, contractual rights or the ability to transfer relationships.

Keep the origination purpose unambiguous
Commercial finance sourcing
- A lender commissioning borrower research defines its own target profile, products and exclusions. The conversation establishes the borrower’s stated requirement for that lender’s review.
- If the target is itself a financial-services business, clarify which entity has the requirement and the business purpose before describing the introduction.
Acquisition sourcing
- The buyer specifies the business activities, ownership characteristics and strategic rationale that guide target selection.
- Owner dialogue establishes interest and priorities. It does not establish that an acquisition is permissible, feasible or suitable for the buyer.
Section 04
Prepare a commercial record with clear limits
The handoff should state the entity, activity, customer relationship, source of information and reason for relevance. Carry unresolved questions about permissions, arrangements and ownership into the client’s specialist review rather than resolving them through assumptions.
