A considered path from acquisition criteria to owner dialogue

Distinguish the thesis from the target list
An acquisition thesis explains why a business could matter to the buyer. A research brief makes that rationale specific enough to guide selection: activities, customer types, delivery model, geography, ownership and size parameters. It should also state which adjacent businesses would dilute the search.
Map the evidence behind each inclusion. Public information may explain a company’s offering while leaving ownership, business mix or scale unclear. Mark those gaps explicitly. A plausible target is a research conclusion, not evidence that its owner is considering a transaction.

Give owner outreach a clear basis

Explain the connection between the business and the buyer’s approved search priorities. Avoid generic acquisition language that leaves an owner to infer why they were approached.

Owner priorities
Listen for the owner’s objectives, desired involvement and reasons for speaking. Interest in learning about a buyer should remain distinct from an intention to sell.

Relationship continuity
Keep a record of prior dialogue and agreed follow-up. If timing is unsuitable, preserve the stated reason and respect any request to end contact.

What belongs in a buyer introduction
- A concise business description, ownership information where known, and the specific connection to the acquisition criteria.
- A separation of public research, owner statements and assumptions that still require confirmation.
- The owner’s stated willingness to meet, relevant priorities and any boundaries around the initial discussion.
- Known timing considerations, outstanding questions and the person on the buyer’s team responsible for the next conversation.
- Existing relationship context so the buyer can avoid repeated introductions or asking the owner to reconstruct the discussion.

Let buyer feedback sharpen the search
Review why introductions are accepted or declined. A recurring mismatch in customer mix may call for a narrower research rule; an ownership misunderstanding may call for better qualification. Keep those changes visible in the brief so the next research cycle reflects the buyer’s reasoning.
